PHOTOGRAPHY TERMS & CONDITIONS1. DEFINITIONS
For the purpose of this agreement:- “The Photographer” means Alex Segre, sole trader.- “The Client” means the individual or entity commissioning the photography services.- “Photographs” means all photographic images and materials produced by the Photographer for the Client.- “License to Use” means the rights granted to the Client to use the Photographs as described in clause 4.2. COPYRIGHT
The copyright in all Photographs remains the property of the Photographer at all times throughout the world.3. USE AND LICENSE GRANTED TO THE CLIENT
Upon full payment of all relevant invoices, the Client is granted a perpetual, worldwide, irrevocable, and unlimited licence to use the Photographs for any personal or commercial purpose, without restriction.
This licence includes rights to reproduce, display, publish, and distribute the Photographs in any media or format now known or developed in the future.
The Client may not sell, license, or transfer the Photographs to third parties for use by those third parties without the Photographer's prior written consent.4. PHOTOGRAPHER'S PROMOTIONAL USE
Notwithstanding the Client’s full usage rights, the Photographer reserves the right to use the Photographs for promotional, marketing, portfolio, and advertising purposes in any media worldwide, including on the Photographer’s website, social media, and printed materials.5. PAYMENT
(a) Payment is due within 30 days of invoice date unless otherwise agreed in writing.
(b) Late payments will incur statutory interest in accordance with applicable UK law.6. CANCELLATION
The Client may cancel a confirmed shoot by providing written notice at least 48 hours prior to the scheduled date.
Cancellations made less than 48 hours before the shoot will incur a cancellation fee of 50% of the agreed fee.
Rescheduling is subject to Photographer’s availability and may incur additional fees.7. DELIVERY
Photographs will be delivered digitally via a secure link or agreed format within a reasonable period following the shoot, typically within 3 days.
Delivery times may be affected by unforeseen circumstances but the Photographer will communicate any delays promptly.8. LIABILITY AND INDEMNITY
The Photographer shall not be held liable for any indirect, consequential, or incidental damages arising from the use or inability to use the Photographs.
It is the Client’s responsibility to insure against any such losses.
The Photographer is not liable for events beyond their reasonable control, including but not limited to technical failures, illness, or weather.9. CONFIDENTIALITY
Any confidential information disclosed by the Client during the course of the commission will be treated with appropriate discretion, except as necessary for the provision of services.10. DATA PROTECTION
The Photographer processes personal data, including photographs, in accordance with the Privacy Policy available at https://headshotaphy.com/#privacy.
The Client consents to this processing by commissioning services.11. FORCE MAJEURE
The Photographer shall not be liable for failure to perform or delay in performance caused by events beyond reasonable control, including natural disasters, government actions, or other emergencies.12. VARIATION
These terms may only be varied by mutual written agreement.13. APPLICABLE LAW
This agreement shall be governed by and construed in accordance with the laws of England and Wales.14. ENTIRE AGREEMENT
This document constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior agreements or understandings.
